Important Service Disclaimers

While we do our best for voice recognition to be as accurate as possible, we do not guarantee accuracy of voice-to-text transcription.

We provide suggestions and calculations to help with decision-making, but we do not guarantee results or outcomes from using our service.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of PingCalc, a software-as-a-service platform that helps rideshare and delivery drivers evaluate trip offers (the "Service"). By creating an account, clicking "I agree," or using the Service, you agree to be bound by these Terms and our Privacy Policy.

2. Definitions

  • Account: Your registered profile used to access the Service.
  • Suggestions: API-backed calculations or evaluations triggered by you within the Service.
  • Top-Ups: One-time add-on packs that increase your suggestion allowance until the end of the billing period.
  • Billing Cycle: A recurring monthly or annual period during which subscription fees are charged.

3. Eligibility; Account Security

You must be at least 18 years old to use the Service. You are responsible for all activities that occur under your Account and for safeguarding your credentials.

4. Plans, Pricing, and Billing

  1. Plans. We offer tiered plans (currently Standard, Plus, Pro) with different suggestion allowances and/or features. We may modify plan features and pricing upon notice as permitted by law.
  2. Auto-Renewal. Subscriptions automatically renew at the end of each Billing Cycle unless you cancel prior to renewal.
  3. Payment. Fees are billed in advance and are non-refundable except as required by law. Taxes (e.g., sales/VAT/GST) may apply and, where applicable, will be charged in addition to the subscription fee.
  4. Top-Ups. Top-Ups are one-time purchases that increase your available suggestions for your current Billing Cycle only. Top-Ups expire at the end of the current Billing Cycle for monthly subscriptions, and every 30 days for annual subscriptions.
  5. Expiration of Included Suggestions. Any unused suggestions included with your plan expire at the end of your current monthly Billing Cycle. For annual subscriptions, unused suggestions expire every 30 days (industry standard) and do not roll over. No credits or refunds are provided for expired suggestions.
  6. Upgrades/Downgrades. If you upgrade mid-cycle, we may prorate and charge the difference immediately and your renewal will occur at the higher plan price. Downgrades take effect at the next renewal.
  7. Cancellation. You may cancel at any time; cancellation becomes effective at the end of your current Billing Cycle. You retain access until then.
  8. Failed Payments. We may suspend or terminate access for non-payment or chargeback and attempt re-collection according to our billing processes.

5. Acceptable Use

  • No account sharing; each subscription is for one natural person unless otherwise agreed in writing.
  • No scraping, reverse engineering, or circumventing usage limits or security controls.
  • No use in violation of law, third-party platform terms (e.g., rideshare or delivery apps), or to build a competing service.

6. Third-Party Services

The Service may interoperate with third-party services (e.g., Stripe for payments, hosting providers, AI APIs). We are not responsible for third-party services and disclaim liability arising from their acts or omissions.

7. Intellectual Property; Feedback

We retain all right, title, and interest in and to the Service, including all software, content, and trademarks. If you provide feedback or suggestions, you grant 2B&1G Solutions, Inc a perpetual, irrevocable, royalty-free license to use that feedback for any purpose.

8. Confidentiality

Each party may receive non-public information from the other. Each agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms.

9. Data Protection

Personal data is processed as described in our Privacy Policy. Where required by law, additional terms (e.g., data processing addenda) may apply.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Safety Notice

Driving is inherently dangerous, and distracted driving greatly increases the risk of accidents, injury, or death. The PingCalc service is not intended for active use while operating a vehicle. We strongly recommend that all data entry and interaction with PingCalc be performed only when safely parked or not driving. By using PingCalc, you acknowledge and agree that you are solely responsible for how and when you access the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL 2B&1G Solutions, Inc BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless 2B&1G Solutions, Inc, its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate the Service or your Account if we reasonably believe you violate these Terms or pose a risk to the Service, other users, or us. Upon termination, your license to use the Service ceases immediately.

15. Export and Sanctions

You will comply with applicable export control and sanctions laws. You may not use the Service if you are subject to sanctions or in a country embargoed by the U.S.

16. Dispute Resolution; Class Waiver

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in Florida. TO THE EXTENT PERMITTED BY LAW, YOU AND 2B&1G Solutions, Inc AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

17. Miscellaneous

These Terms constitute the entire agreement between the parties and supersede prior agreements relating to the subject matter. If any provision is held unenforceable, the remaining provisions will remain in effect. Neither party is liable for delay or failure due to events beyond reasonable control (force majeure). You may not assign these Terms without our consent.
